AVP/Manager - Legal Corporate Affairs

Job Description and Requirements
Job Responsibilities:   1. Developing and leading corporate legal strategy to promote and protect the company's matters;  2. Ensure the legality of commercial transactions, advising the higher management on their legal rights and duties, including the duties and responsibilities of corporate officers  3. Reviews, drafts and negotiates agreements, consulting agreements, special licensing, non-disclosure agreements, terms and amendments for customers, mainly in English, sometimes in Arabic;  4. Drafts, amends, manages, responds to, or analyses the MOAs of the Group and its amendments as needed; 5. Developing and leading corporate compliance programs;  6. Drives contract lifecycle from drafting through completion of the negotiation process, and/or contract execution. Manages contract change control process and related correspondence requiring legal input;  7. Overseeing delivery of legal services and resources to accomplish corporate goals, strategies and priorities;  8. Participating in the formulation of general management policy as a member of the legal team;  9. Identifies business objectives of direct sales / rent / construction / licensing / consulting transactions, capital markets, related issues, and facilitates risk/benefit analysis; 10. Drafts, manages, distributes, responds to, or analyses Requests for Information (RFIs), Request for Quotation (RFPs), Request for Quotation (RFQs), Request for Tender (RFT) or customer terms & conditions as needed; 11. Maintains a deep understanding of the Group contract templates, contracts policy, legal risk and liability, and company position on various matters;  12. Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken;  13. Prepares contracts for internal review and approval and ensures compliance with company policies as well as applicable laws or regulations;  14. Interprets contracts and advises sales/ rent/ construction / consulting managers on contractual responsibilities;  15. Translates complex commercial/legal scenarios into simple language and action plans;  16. At settlement, will engage in negotiations with opposing parties; participate in mediations and settlement conferences with the parties; and create settlement brochures, agreements, releases and other settlement materials.  17. Demonstrate knowledge of, and experience with, laws dealing with government and/or non-government entity, particularly disputes negotiation, preparation and administration; 18. Ability to provide independent advice (orally and in writing) to top level management on highly technical matters;  19. Formulate check-lists to be used for the purpose of ensuring that all information required is provided accordingly and on time; 20. Provide and interpret legal information, conduct and disseminate appropriate legal requirements to staff;  21. Advising the Senior Management on a variety of issues; 25. May mentor and train less experienced contract professionals;  26. Supports the Group Regional / Vertical Lawyers on sales-related projects;   Qualifications Required  
  • Bachelors/ Masters degree in Law
  • Minimum 8 years of experience in the same field
  • Familiar with standard concepts, practices, and procedures within real estate/construction field;
  • Good planning and organization skills;
  • Speak, read, and write fluently in English. Knowledge in Arabic will be prefered
